Terms and Conditions

1. Definitions

For the purposes of these General Terms:

• "Platform": the B2B portal accessible at dielleprofessional.com, reserved for professional customers.
• "Dielle": Dielle S.r.l., with registered office at Via Riccardo Galli 11, 20148 Milan, VAT no. 08862090159.
• "User": a professional entity (a legal entity or individual engaged in business activities) registered on the Platform.
• "Order": the contractual purchase proposal submitted by the User through the Platform.

2. Platform Access

Access to the Platform is reserved exclusively for professional operators in the industry (hairdressers, distributors, retailers, beauty salons). Dielle reserves the right to approve or reject registration requests without providing a reason. Login credentials are personal and non-transferable. The User is responsible for maintaining the confidentiality of their login credentials and for all actions taken through their account.

3. Orders and Sales Contracts

Submitting an Order through the Platform constitutes an irrevocable purchase offer. The sales contract is concluded upon written confirmation of the order by Dielle (confirmation email or order status update). Dielle reserves the right to reject orders in cases of product unavailability, manifest price errors, or insufficient customer credit.

4. Prices and Payments

Prices listed on the Platform are in Euros and are understood to exclude VAT, unless otherwise indicated. Dielle reserves the right to update price lists at any time. Commercial terms (discounts, dedicated price lists) are defined in the individual supply contract. Payment terms are indicated in the order confirmation and invoice.

5. Shipping and Deliveries

Shipments are made to the address specified in the Order. Delivery times are approximate and do not constitute a contractual commitment. Dielle is not liable for delays attributable to the carrier or due to force majeure. Risk passes to the User upon delivery to the carrier (EXW terms, unless otherwise agreed in writing).

6. Intellectual Property

All content on the Platform (text, images, logos, software, product catalog) is the property of Dielle or the respective owners and is protected by copyright and intellectual property laws. Any unauthorized reproduction, distribution, or use of the Platform’s content is prohibited.

7. Limitation of Liability

Dielle does not guarantee that the Platform will be free of interruptions or errors. Under no circumstances will Dielle be liable for indirect, consequential, special, or punitive damages arising from the use of or inability to use the Platform. Dielle’s maximum liability, in any case, shall not exceed the amount of the User’s most recent order.

8. Governing Law and Jurisdiction

These General Terms and Conditions are governed by Italian law. Any dispute regarding the interpretation, enforcement, or validity of these Terms and Conditions shall be subject to the exclusive jurisdiction of the Court of Milan, to the exclusion of any other court.

9. Amendments

Dielle reserves the right to amend these General Terms at any time. Changes will be communicated to registered Users with at least 30 days' notice. Continued use of the Platform after notification of changes constitutes acceptance thereof.
